Job Summary

The Legal & TC Director will ensure that each NAR entity operates business complying with the rules, laws and corporate policies, aiming to facilitate business development and growth, but always controlling companies and mitigating risk exposure.

Job Description

POSITION PROFILE

  • Have a strong knowledge of business law and Trade commerce and considerable experience on industrial and international business;

  • Be hands-on, able to go into details and to solve problems and conflicts;

  • Have professional maturity with ability of analysis and logical reasoning and ability to express (analysis and synthesis);

  • Work under pressure and deliver the work outcome on time with accuracy;

  • Have excellent communication skills with both legal and business teams;

MAIN RESPONSIBILITIES

  • Provide leadership and expert advice to business executives and internal and external stakeholders to facilitate the management and resolution of a diverse range of legal, regulatory, security, trade compliance and compliance matters which impact the organization's capacity to achieve its strategic goals

  • Ensure that all allegations of legal misconduct are and can be reported in a timely manner by way of proper tool (e.g. hotline), aiming to maintain integrity within the business

  • Give guidance in the management of prevention and litigation issues, such as contract disputes, administrative procedures, IP (intellectual property) protection, quality and product liability issues

  • Lead and monitor the efficiency and effectiveness of the legal function's service delivery and day to day operations, to ensure policy, legal and regulatory compliance is met and that risk is identified, minimized and managed

  • Coordinate and supervise trade commerce functions aiming to enhance compliance with US import and export rules (e.g. E.A.R., USMCA, Tariff Codes etc.)

  • Deal with external and third parties, such as regulators, authorities, auditors and external counsels, in order to protect the company's rights and position

  • Ensure development & engagement of the team at high standards to fulfill business needs and ensure a robust succession plan inside the company aiming long term sustainability.

  • Take care of the legal budget and related expenses.

Additional Job Details

EDUCATION and EXPERIENCE

  • Minimum educational requirement (University graduation in Law from an accredited Law School)

  • Proven success in a leadership role within an International company environment

  • Must have solid knowledge of US Trade commerce rules, compliance matters, and international and local rules and regulations that affect the company

  • Experience working closely with a Board of Directors on a broad range of legal and business issues, governance matters, and corporate strategy.

  • Hard skills: 1) Commercial, IP, Consumer, Product liability, Disputes resolution, International laws 2) Trade laws, Compliance and corporate secretary system 3) Budget forecast

  • Min working experience (15 years)

  • Language skills: Minimum requirement (Advanced English, Spanish)

  • US BAR admission is preferred
