Job Description

Position Summary:

This position is key in leading and supporting the execution of M&A activities of Rockwell Automation and its various business units. Primary areas of focus and strength should be in the following: mergers, acquisitions, divestitures,, financial analysis, valuation, financial modeling, due diligence, and integration related activities.

More specific responsibilities include:

  • Lead valuation of potential M&A targets using traditional valuation methodologies such as DCF, comparable public companies, and precedent M&A transactions
  • Execute venture investment activities with Rockwell Automation business, advanced technology and geographic leaders in order to achieve long-term profitable growth and insight into disruptive technology
  • Collaborate with the Business Units to prepare Executive and Board review materials for transaction approvals
  • Support IOI/LOI negotiations
  • Lead transaction execution and due diligence
  • Collaborate with Legal, Finance, Tax, HR, Business Unit, and other teams in negotiating key deal terms with targets
  • Contribute to the transaction documents such as purchase agreements and working capital
  • Supervise, coach, and mentor Corporate Development analyst(s)
  • Collaborate with the Integration leader in developing an integration plan, and compiling integration costs
  • Lead and support developing deal models
  • Lead and support developing company profiles, evaluating/benchmarking of target companies/buyers, and other relevant financial analyses
  • Act as Corporate Development's representative and key interface for special projects initiated and coordinated by Strategic Development (i.e., market/benchmarking studies, growth initiatives, etc.)

Key Competencies & Other Skills:

  • Strong understanding of fund management, corporate finance, and venture investments
  • Experience building complex deal models
  • Experience in leading due diligence activities for M&A transactions and Venture investments
  • Strong understanding of corporate finance
  • Mastery in different valuation methods (including DCF, comparable public companies, and precedent M&A transactions)
  • Ability to build strong cross-functional relationships with Finance, Legal, IT, HR, Tax, and Business Unit teams to assure transaction success
  • Excellent interpersonal skills, including ability to communicate clearly and concisely both orally and in writing
  • High attention to detail
  • Self-starter with the ability to multi-task, prioritize, and solve problems
  • Excellent stakeholder management skills
  • Superior analytical, quantitative, and critical thinking skills
  • Ability to manage multiple projects under strict timelines in a demanding and dynamic environment to meet overall objectives
  • High level of personal integrity, as well as the ability to professionally handle confidential matters and show an appropriate level of judgment and maturity
  • Experience with software transactions and recurring revenue analysis

Other Qualifications:

  • Education: B.S. or B.A. in Finance or Accounting or related business field required
  • Certification / License: MBA preferred
  • Experience:
    • Five to eight years of combined experience in Investment Banking, Private Equity, Venture Capital or Corporate Development
  • Proven experience with M&A and Venture Capital
  • Experience and demonstrated maturity in verbal and written communication with all levels of an organization, including the senior executive level
  • Strong background in business case development and financial analysis required to support business development opportunities
  • Experience with complex negotiations during transactions
  • Proven track record of managing a diverse and multi-faceted team
