About the Team: As a key member of the legal team, the Associate Counsel will play an integral role in supporting the legal, regulatory, and compliance needs of our fast-growing AI company. The legal team's primary functions include contract negotiation, providing legal advice, risk management, ensuring compliance, and facilitating business strategy alignment across various departments. This role directly contributes to the company's growth and success by safeguarding its interests, enabling innovation, and ensuring business practices align with evolving laws and regulations. About the Role: As Associate Counsel, you will help ensure that the company operates in a legally sound manner while innovating within the rapidly evolving tech landscape. You'll be a critical partner in enabling the company's AI-driven initiatives by navigating the complex legal environment and ensuring compliance with industry standards. Your role will directly impact our ability to scale, minimize risk, and continue providing cutting-edge solutions to our customers. You will play a crucial role in providing strategic legal support for our AI-powered solutions while collaborating across departments to help drive the company's growth and ensure compliance with evolving legal standards. You will work closely with various teams-sales, engineering, marketing, and product-to enable innovation and smooth business operations while protecting the company's interests. You'll report to the Senior Director, Legal and manage a wide range of responsibilities, from NDA reviews and complex contract negotiations to creating and updating internal polices and providing guidance for data privacy inquiries. You Will:
- Draft, review, and negotiate a high volume and wide variety of complex commercial agreements, including SaaS agreements, data processing agreements, business associate agreements, MSAs, strategic partnerships, and vendor agreements.
- Support contract lifecycle management processes and maintain and improve legal templates, playbooks, and best practices to streamline the contracting process and increase consistency.
- Provide practical and strategic advice to sales, procurement, and other operational stakeholders to close deals effectively and compliantly.
- Collaborate with engineering, product, marketing, and sales teams to address legal considerations and mitigate risks in product development, customer contracts, and go-to-market strategies.
- Advise internal stakeholders on data privacy and cybersecurity laws and regulations, including GDPR, CCPA/CPRA, and other applicable frameworks.
- Monitor and advise on changes in laws, regulations, and industry standards that impact the business, ensuring the company adapts accordingly.
You Have:
- J.D. degree or equivalent legal degree from an accredited law school and a member in good standing in at least one U.S. state bar.
- Minimum of 3+ years of relevant legal experience, with a strong preference for in-house experience at a SaaS company or other technology company and/or at a national law firm representing SaaS or technology companies.
- Excellent negotiation skills and a track record of closing challenging deals
- Knowledge of data privacy laws and regulations, and experience handling and dealing with data privacy-related issues and questions.
- Eagerness to learn and ability to manage multiple priorities and work independently in a fast-paced environment.
- Solid understanding of AI technologies, with a keen awareness of emerging legal issues in the AI and tech space.
- Exceptional verbal and written communication skills, with the ability to convey complex legal and business concepts clearly to non-legal stakeholders.
- Strong interpersonal skills and a collaborative mindset.
