Job Summary
This position is responsible for providing legal guidance, direction, and support to internal stakeholdersof Harley-Davidson, Inc. and its subsidiaries in multiple practice areas, including but not limited tocommercial agreements and other transactional support and motor vehicle dealer law compliance andlitigation. Also manages outside counsel, implements tactics, policies and procedures, and representsthe Company with external stakeholders. Understands forward-looking business concerns and strategies, is part of solution development, and implements sound legal strategies that position the LegalDepartment to best support internal stakeholders, namely the North American sales and network/dealerdevelopment teams.
Job Responsibilities
- Prepares, reviews, negotiates, and interprets a variety of commercial agreements, includingprofessional service agreements, NDAs, and vendor contracts.
- Works with internal stakeholders to support dealer promotions, incentives, and relatedprograms, including developing terms and conditions and helping internal stakeholdersimplement in a manner that best limits legal risk to the Company, while satisfying the businessunit's objectives.
- Manage certain types of litigation filed against Harley-Davidson, Inc. and its affiliates, includinglawsuits and protests filed by dealers under or in relation to state motor vehicle dealer laws.
- Works proactively with operations staff and internal/external counsel to identify legal risksthroughout the organization, with an emphasis on the North American commercial organization,and helps to propose operational changes to mitigate risks.
- Seeks continuous improvement opportunities within scope of responsibility.
- Tracks legal trends and makes recommendations for continuous improvement as appropriate forHarley-Davidson.
- Prepares and delivers training regarding legal and regulatory requirements.
- Takes leadership role in actively supporting the Legal Department quality initiatives.

- Requires a Juris Doctorate degree from an accredited law school. Qualified candidates will be licensed to practice law in the United States, a member in good standing with a State bar, and the ability to become a member of the Wisconsin State bar.
Experience Requirements
Required
- Typically requires a minimum of 3 years of related experience.
- 3-5 years of related experience with at least 3 of those years in a law firm and/or corporate legal
department. - A high level of integrity, excellent judgment and analytical skills, and the ability to identify all
relevant issues. - Excellent decision making and problem-solving skills as well as strong written and verbal
communication skills (including good listening skills) and the ability to achieve positive outcomes through influence. - The ability to lead and work well in a team environment.
- Organization, planning, and research skills.
- Business-minded, with an ability to provide sound legal advice that is responsive to the needsand strategies of Harley-Davidson, Inc. and its subsidiaries.
- An appreciation and awareness of the legal/business interface.
- An ability to work on multiple tasks simultaneously in a dynamic and fast-paced work
environment.
